Legal Counsel – Americas (Remote)

About the role

Vistra is seeking a Legal Counsel to support its Americas operations. Reporting to the Head of Legal Americas, this full‑time permanent role is fully remote and will focus on U.S.‑law governed commercial contracts.

Key responsibilities

• Review, draft and negotiate services agreements, statements of work, amendments and related commercial documents.
• Prepare and manage data processing agreements and privacy‑related terms.
• Handle NDAs and other standard commercial documentation.
• Support negotiations with U.S. and international clients across the Americas.
• Apply and defend standard contractual positions, playbooks and risk allocation frameworks.
• Identify legal and commercial risks and propose pragmatic, business‑oriented solutions.
• Coordinate with internal teams (commercial, compliance, operations, IT/security) to facilitate deal execution.
• Contribute to continuous improvement of contract templates and standard processes.

Required profile

• Law degree with a focus on U.S. commercial law.
• Experience drafting and negotiating commercial agreements, preferably in a multinational environment.
• Strong understanding of data protection and privacy requirements.
• Ability to work independently and collaborate with cross‑functional teams.
• Excellent analytical and communication skills.
