Legal Analyst (Remote)

About the role

We are looking for an experienced Legal Analyst to join a growing U.S.-based law firm that focuses on commercial transactions and corporate matters. This 100% remote position works directly with attorneys to draft, review, and negotiate a wide range of legal agreements while supporting corporate governance, due diligence, and M&A activities.

Key responsibilities

• Draft, review, edit, and redline commercial agreements such as MSAs, NDAs, SOWs, service and purchase agreements.
• Prepare first drafts of legal documents using firm templates and attorney guidance.
• Conduct legal research on commercial, corporate, contract and business law topics.
• Assist with corporate governance, entity formations, annual filings and record maintenance.
• Support M&A processes, including due diligence, document organization, disclosure schedules and closing checklists.
• Identify and summarize legal and commercial risks in contracts for attorney review.
• Coordinate contract execution, signature collection and final document management.
• Maintain organized electronic legal files and track transaction timelines and attorney action items.

Required profile

• Law degree (LL.B., J.D. or equivalent) from an accredited institution.
• Active bar admission/license to practice law in Brazil or another international jurisdiction.
• 5–10 years post‑qualification experience in corporate law, preferably with M&A exposure.
• Native or bilingual fluency in English, both written and spoken.
• Demonstrated experience supporting U.S.-based companies or cross‑border transactions.

Required skills

• Advanced proficiency in Microsoft Word (track changes, document comparison).
• Strong skills in Microsoft Excel.
• Experience with Google Workspace.
• Familiarity with contract lifecycle management or document management systems.
