Legal Counsel – Associate / Sr Associate (Corporate Governance)

About the role

The Office of the Secretary (OTS) at J.P. Morgan supports effective governance across the firm’s subsidiaries and affiliates. We are looking for an attorney to join the Subsidiary Corporate Governance Team (Americas) in São Paulo, Brazil, to ensure compliance with corporate governance, regulatory, and internal policy requirements for multiple Brazilian subsidiaries.

Key responsibilities

• Advise on subsidiary corporate governance matters and conduct legal research on corporate laws and regulations, especially for financial institutions.
• Prepare and manage Board, Board committee, and shareholder agendas, materials, resolutions, and minutes.
• Manage periodic and event‑driven regulatory filings, including updates to regulators’ online systems.
• Maintain key legal entity records and documentation, following established procedures and checklists.
• Support signing‑authority processes, including appointment of executive officers/legal representatives and drafting/reviewing powers of attorney.
• Assist with legal entity simplification and restructuring initiatives.

Required profile

• Minimum 3 years of professional experience in a similar corporate governance or regulatory role.
• Law degree and an active license to practice law in Brazil (OAB) in good standing.
• Fluency in English.
• Demonstrated experience with Brazilian corporate law, particularly for closely held (non‑public) corporations.
• Ability to pass a conflict‑of‑interest clearance review prior to employment.
