Legal Officer – Corporate Governance

About the role

Citco is seeking a Legal Officer to join its Mercator team, supporting multinational clients with corporate subsidiary governance across Brazil. Reporting to an Account Manager in Vilnius, you will work independently to ensure compliance throughout the company lifecycle.

Key responsibilities

• Draft, review and file corporate and transactional documents for company incorporation, maintenance and dissolution in various Brazilian states.
• Conduct due‑diligence, order certified documents, perform searches and complete registry and central‑bank filings.
• Set up and maintain client accesses, registrations and compliance with Brazilian corporate secretarial regulations.
• Monitor statutory filings with authorities for a portfolio of clients and coordinate information gathering with global partners.
• Maintain accurate data, documents and reporting while sharing legal updates with clients.

Required profile

• Law degree from an accredited institution.
• Fluent in written and spoken English.
• Minimum 3 years of experience in corporate law, entity management, due diligence and corporate maintenance.
• Proven experience delivering corporate secretarial services and managing client projects, preferably with international exposure.
• Ability to handle multiple priorities in a fast‑paced environment and work autonomously.

Required skills

• Strong knowledge of Brazilian corporate law and regulatory filing procedures.
• Experience with corporate governance documentation and statutory compliance.
